2.2 The client acknowledges that any software or related materials provided by SafeBay are protected by intellectual property laws and may not be reproduced, modified, or distributed without prior written consent.
3.1 The client shall provide accurate and complete information necessary for the development and implementation of the software solutions.
3.2 The client shall ensure the confidentiality and security of their login credentials and account information associated with our services.
3.3 The client shall comply with all applicable laws and regulations while using our services.
4.1 The client shall pay the fees agreed upon for the software development and related services as per the payment schedule specified in the written agreement.
4.2 All fees and charges are exclusive of any applicable taxes unless otherwise stated.
4.3 In the event of any overdue payments, SafeBay reserves the right to suspend or terminate services until outstanding amounts are settled.
5.1 SafeBay shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use our services.
5.2 SafeBay shall not be responsible for any loss of data or unauthorized access to client information resulting from factors beyond our reasonable control.
5.3 The client agrees to indemnify and hold SafeBay harmless from any claims or damages arising from their use of our services.
6.1 Either party may terminate the agreement for any reason by providing (30 days) written notice to the other party.
6.2 Upon termination, the client shall promptly return any software or materials provided by SafeBay, and any outstanding fees shall become immediately due.
7.1 SafeBay reserves the right to update or modify these terms and conditions at any time without prior notice.
7.2 The client’s continued use of our services after any changes to the terms indicates their acceptance of the modified terms.
These Legal Terms and your use of Services are governed by and interpreted in accordance with state laws, as well as County and local ordinances and regulations, except in cases where Federal Law takes precedence.
Informal Negotiations – To resolve any disputes related to these Legal Terms, both parties agree to first attempt informal negotiations for at least thirty (30) days before initiating arbitration.
The services are provided “as is” and “as available.” Your use of the services is at your own risk. We do not guarantee the accuracy or completeness of the content and materials on the services or linked websites. We are not liable for any errors, damages, or unauthorized access.
